This Service Agreement ("Agreement") is entered into between AutoAI LLC ("AutoAI," "Provider"), a limited liability company, and the dealership or business entity that has engaged AutoAI's services ("Client," "you," or "your").
This Agreement governs the provision of AutoAI's AI-powered sales assistant platform to the Client. By making payment for AutoAI services or by using AutoAI's platform, the Client acknowledges acceptance of this Agreement in full.
Plain English summary: This is the formal contract between you (the dealership) and AutoAI. It covers what we do for you, what you pay, what we're each responsible for, and what happens if either party wants to end the relationship.
AutoAI agrees to provide the Client with the following services during the term of this Agreement:
Upon receipt of the setup fee, AutoAI will begin onboarding the Client. Onboarding includes:
AutoAI targets completion of onboarding within 24 hours of receiving all required information from the Client. Delays caused by the Client's failure to provide necessary information (inventory CSV, website access, etc.) are not the responsibility of AutoAI.
The Client agrees to pay AutoAI the following fees as established during onboarding:
All fees are processed through Stripe, AutoAI's payment processor. The Client authorizes AutoAI to charge the payment method on file on each billing date. If a payment fails, AutoAI will attempt to re-process the charge and will notify the Client by email. Continued failure to pay may result in suspension of service.
AutoAI reserves the right to adjust monthly subscription pricing with 30 days written notice. Clients may cancel before the new pricing takes effect without penalty.

The Client retains full ownership of all data they provide to AutoAI, including vehicle inventory, dealership information, and customer leads captured through the Service.
AutoAI is granted a limited, non-exclusive license to use the Client's data solely for the purpose of operating the Service on the Client's behalf. AutoAI will not use Client data for advertising, share it with competitors, or sell it to third parties.
Upon cancellation, all Client data will be exported and deleted from AutoAI's systems as described in the Termination section below.
AutoAI targets a service uptime of 99% measured on a monthly basis, excluding scheduled maintenance windows. AutoAI will provide reasonable advance notice of planned maintenance that may affect service availability.
Technical support is provided via email at autoai.dealer@gmail.com. AutoAI will make reasonable efforts to respond to all support requests within 1 business day and to resolve critical issues within 24 hours.
AutoAI is not responsible for downtime or service interruptions caused by third-party infrastructure providers, internet connectivity issues on the Client's end, or events outside AutoAI's reasonable control.
By the Client: The Client may terminate this Agreement at any time by providing 30 days written notice to autoai.dealer@gmail.com. The Client will be billed through the end of the current billing cycle. No partial-month refunds are provided.
By AutoAI: AutoAI may terminate this Agreement immediately if the Client:

Both parties agree to keep confidential any non-public information shared during the course of this Agreement, including but not limited to business strategies, pricing, customer data, and technical systems. This obligation survives termination of this Agreement for a period of 2 years.
Confidential information does not include information that is publicly available, already known to the receiving party, or required to be disclosed by law.
AutoAI's liability to the Client under this Agreement is limited to the total fees paid by the Client to AutoAI in the three months immediately preceding the event giving rise to the claim.
AutoAI is not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost vehicle sales, or damage to business reputation, even if AutoAI has been advised of the possibility of such damages.
AutoAI is not responsible for the accuracy of AI-generated responses when those responses are based on inaccurate information provided by the Client.
This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict of law principles. Any disputes arising under this Agreement shall be resolved through good-faith negotiation between the parties. If negotiation fails, disputes shall be submitted to binding arbitration in Pennsylvania.
This Agreement, together with AutoAI's Terms of Service and Privacy Policy (available at autoai-llc.com), constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior or contemporaneous agreements, representations, or understandings.
This Agreement may be amended by AutoAI with 30 days written notice to the Client. Continued use of the Service after the amendment takes effect constitutes acceptance of the revised Agreement.
