Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of AutoAI LLC's ("AutoAI," "we," "us," or "our") services, including our website at autoai-llc.com and our AI-powered sales assistant platform (collectively, the "Service").

By signing up for, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use our Service. If you are using the Service on behalf of a business entity, you represent that you have authority to bind that entity to these Terms.

Our Services

AutoAI provides an AI-powered chat assistant that dealerships install on their websites. The Service includes:

An AI chat widget that responds to customer inquiries based on the dealership's inventory and information
Automatic lead capture and storage of customer contact information
Email notifications to dealership staff when new leads are captured
A dealer portal for uploading and managing vehicle inventory
A leads dashboard for viewing and exporting captured lead data

AutoAI reserves the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice to active subscribers.

Accounts and Access

To use AutoAI, you must provide accurate and complete information during onboarding. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately at autoai.dealer@gmail.com if you suspect unauthorized access to your account.

AutoAI reserves the right to suspend or terminate accounts that violate these Terms, provide false information, or engage in any activity that harms the Service or other users.

Dealer Obligations

As a dealership using AutoAI, you agree to:

Provide accurate vehicle inventory information and update it regularly so the AI does not mislead customers
Provide accurate dealership contact information, hours, and business details
Obtain proper consent from any staff member whose phone number or email address is provided for lead alert notifications
Use the Service in compliance with all applicable federal, state, and local laws, including consumer protection and advertising regulations
Not use the Service to engage in deceptive, fraudulent, or misleading practices toward customers
Not attempt to reverse-engineer, copy, resell, or sublicense the AutoAI platform or technology

Important: You are responsible for the accuracy of the information you provide to AutoAI. The AI responds based on your data — if your inventory or dealership information is incorrect, the AI may give customers inaccurate information. We are not liable for errors caused by inaccurate dealer-provided data.

Payment Terms

AutoAI services are provided on a monthly subscription basis. Pricing is agreed upon individually at the time of onboarding. All subscriptions include:

A one-time setup fee due before onboarding begins
A recurring monthly subscription fee billed on the same date each month

Payments are processed through Stripe. By providing payment information, you authorize AutoAI to charge your payment method on the agreed schedule. Late or failed payments may result in suspension of service. AutoAI is not responsible for any bank fees or charges incurred as a result of subscription billing.

Cancellation and Termination

You may cancel your AutoAI subscription at any time with 30 days written notice sent to autoai.dealer@gmail.com. Upon cancellation:

The AI chat widget will be deactivated at the end of the notice period
All lead data belonging to your dealership will be exported and sent to you within 24 hours
Your data will be deleted from AutoAI's active systems within 30 days
No partial-month refunds are provided for cancellations mid-billing-cycle

AutoAI reserves the right to terminate your account immediately and without notice if you violate these Terms, engage in fraudulent activity, or if your account poses a risk to the platform or other users.

Intellectual Property

AutoAI LLC owns all rights, title, and interest in and to the Service, including all software, algorithms, designs, and content created by AutoAI. These Terms do not grant you any ownership rights in the Service.

You retain ownership of all data you provide to AutoAI, including your vehicle inventory, dealership information, and customer leads captured through the Service. By using AutoAI, you grant us a limited license to use your data solely to operate and improve the Service on your behalf.

Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranty of any kind. AutoAI does not warrant that the Service will be uninterrupted, error-free, or completely secure. The AI assistant may occasionally produce inaccurate, incomplete, or inappropriate responses — AutoAI is not responsible for the consequences of any AI-generated content.

AutoAI does not guarantee any specific business results, including lead volume, conversion rates, or revenue generated through use of the Service.

Limitation of Liability

To the maximum extent permitted by law, AutoAI LLC and its owners, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to lost profits, lost sales, loss of data, or damage to business reputation.

AutoAI's total liability to you for any claim arising from these Terms or your use of the Service shall not exceed the total amount you paid to AutoAI in the three months preceding the claim.

Changes to These Terms

AutoAI may update these Terms from time to time. We will notify active subscribers of material changes via email at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
